1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of RingBack’s licensed software platform, custom configurations, and related services (“Software and Services”).

By subscribing, accessing, or using the Software and Services, you agree to be bound by these Terms.
If you do not agree, do not use the Software or Services.



2. Definitions

“Company,” “we,” “us,” or “our” means RingBack.
“Client,” “you,” or “your” means the individual or entity purchasing or using the Software or Services.
“End User” means your customers or contacts who interact through the RingBack platform.
“Personal Data” means any information that identifies or can reasonably identify an individual, consistent with applicable global privacy laws (including GDPR, CCPA, and equivalents).
“Data Controller” means the entity determining the purpose and means of processing personal data.
“Data Processor” means the entity processing personal data on behalf of a controller.


3. Scope of Software and Services


RingBack provides a cloud-based communication and automation platform designed to help businesses engage and convert leads. Features may include:

Missed-call text-back

AI-powered chat automation

Online booking and appointment scheduling

SMS and email follow-ups

Review management and auto-reply system

Voice AI answering and callback

4. Platform and Technology Infrastructure


Technology Framework

RingBack delivers its Software and Services through secure, enterprise-grade cloud infrastructure and licensed technology frameworks. These include hosting, messaging, automation, and data-processing systems integrated into the RingBack platform.

Third-Party Vendors

To maintain quality and reliability, RingBack may utilize reputable third-party service providers for hosting, telecommunications, or data processing. These vendors operate under confidentiality and compliance standards consistent with industry best practices.

Service Performance and Limitations

While RingBack manages all client configurations, integrations, and support, certain aspects of availability and performance depend on external network and infrastructure providers. RingBack is not liable for interruptions, delays, or data loss resulting from such third-party systems beyond its reasonable control.

Intellectual Property

All custom configurations, workflows, chatbots, automations, and client-facing assets created or implemented within the RingBack platform remain the exclusive property of RingBack. Clients are granted a limited right to use them solely within the scope of their active subscription.


5. Account Registration and Security

You must provide accurate and complete information when creating an account.

You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

Notify RingBack immediately of any unauthorized access or security breach.


6. Data Privacy and Compliance

Data Roles – You act as the Data Controller for the personal data you collect through the RingBack platform; RingBack acts as your Data Processor under your instructions.

Legal Compliance – Both parties agree to comply with all applicable privacy and data-protection laws, including GDPR, CCPA, and any equivalent laws in your region.

Your Responsibilities – Obtain lawful consent from end-users; configure messaging and communication features in compliance with marketing and privacy regulations (e.g., TCPA, CAN-SPAM); and respond to user data requests as required by law.

Breach Notification – In the event of a personal data breach, RingBack will promptly notify you and cooperate to meet applicable legal notification requirements.

Data Storage and Transfers – Data may be processed and stored in the United States or other jurisdictions where RingBack or its vendors operate, subject to appropriate safeguards.


7. Payments, Fees, and Taxes

Subscription fees are billed monthly according to your selected plan (Starter, Growth, Pro, etc.).

Payments are securely processed automatically through third-party payment processors such as Stripe.

Prices exclude applicable taxes unless stated otherwise.

Clients outside the U.S. are responsible for any local tax or VAT obligations.

Non-payment may result in suspension or termination of Software and Services.


8. Acceptable Use

You agree not to:

Use the Software or Services for illegal, abusive, or fraudulent purposes (including spam, phishing, harassment, or deception).

Infringe on the intellectual property, privacy, or other legal rights of others.

Attempt unauthorized access to systems, data, or interfere with network integrity.

Copy, resell, or distribute the Software or Services without RingBack’s written consent.

RingBack reserves the right to suspend or terminate any account violating this policy.


9. Intellectual Property and License Rights

Ownership – RingBack retains all rights, title, and interest in and to its Software, Services, user interface, designs, databases, configurations, and related materials.

License Grant – Clients are granted a limited, non-exclusive, non-transferable, revocable license to use the RingBack Software and Services solely for their own business operations while their subscription remains active.

Restrictions – You may not copy, modify, reverse-engineer, decompile, disassemble, or create derivative works from the Software or Services.

Feedback – Any feedback, ideas, or suggestions you provide may be freely used by RingBack without obligation or compensation.


10. Service Availability

RingBack strives for 99.9% uptime and reliability but provides the Software and Services on an “as is” and “as available” basis.

RingBack is not liable for outages or losses caused by maintenance, internet disruption, or third-party system failures beyond its control.

Planned maintenance may occasionally result in temporary downtime.


11. Cancellations, Refunds, and Termination

Cancellation: You may cancel your subscription at any time via your billing dashboard or by contacting [email protected].

Refunds: Refunds are not prorated but may be issued in cases of billing errors or duplicate charges.

Termination: Either party may terminate with written notice. RingBack may suspend or terminate access immediately if:

You violate these Terms, engage in unlawful or high-risk activity, or fail to pay fees when due.

Upon termination, your access to the Software and Services ends immediately.


12. Confidentiality and Security

Both parties agree to maintain the confidentiality of proprietary or non-public information.

RingBack applies commercially reasonable technical and organizational safeguards to protect client data.

While RingBack takes security seriously, no system is entirely risk-free, and you acknowledge inherent risks in online systems.


13. Limitation of Liability

The Software and Services are provided “as is” without warranties of any kind.


To the maximum extent permitted by law, RingBack shall not be liable for:

Lost profits or business opportunities,

Data loss or corruption,

Business interruption, or

Indirect, incidental, or consequential damages.

Total liability for any claim shall not exceed the total subscription fees paid by you in the 30 days preceding the claim.


14. Cross-Border Data Transfers

By using the Software and Services, you consent to the transfer and processing of your data in the United States and other countries where RingBack or its vendors operate.

All transfers will comply with applicable international privacy frameworks using recognized safeguards such as standard contractual clauses.



15. Governing Law and Venue

This Agreement shall be governed by and construed under the laws of the State of California, U.S.A.,
without regard to conflict-of-law principles, unless mandatory local law requires otherwise.

Venue: Any dispute shall be resolved exclusively in the competent courts of Solano County, California, U.S.A.

For international clients, California law shall apply except where local consumer or data protection laws cannot be waived.

Both parties agree to first attempt good-faith resolution through negotiation or online mediation before initiating legal proceedings.


16. Modifications

RingBack may modify these Terms, the Software, or the Services at any time. Updated Terms will be posted on our website, and material changes will be communicated via email or in-app notice.

Continued use of the Software or Services after updates constitutes acceptance of the revised Terms.
